Terms of Service

Article 1 (Purpose)

These Terms set out the rights, obligations, responsibilities, and other necessary matters between Denise (the “Company”) and members in connection with the use of the automated video-distribution service “Allcast” (the “Service”).

Article 2 (Definitions)

  1. “Service” means all features that adapt and distribute videos uploaded by a member to external platforms selected by the member (Instagram, Facebook, Threads, TikTok, YouTube, etc.).
  2. “Member” means a person who has agreed to these Terms and entered into a service agreement with the Company.
  3. “Connected account” means an external-platform account that the member has authenticated and connected in order to use the Service.
  4. “Content” means all material such as videos, images, and text that a member uploads for distribution or provides through a connected account.

Article 3 (Posting and amendment of the Terms)

  1. The Company posts these Terms on the initial or connection screen of the Service so that members can easily review them.
  2. The Company may amend these Terms within the scope that does not violate applicable laws.
  3. When amending the Terms, the Company will announce the effective date and reason at least 7 days in advance (30 days in advance for changes that are unfavorable or material to members).

Article 4 (Conclusion of the service agreement)

  1. A service agreement is concluded when a prospective member agrees to the Terms and completes the sign-up procedure set by the Company.
  2. The Company may refuse an application, or later terminate the agreement, in the following cases:
    • Using another person’s identity or entering false information
    • Having previously lost eligibility by violating laws or these Terms
    • Other cases the Company reasonably determines to be contrary to applicable laws and policies

Article 5 (Provision and change of the Service)

  1. The Company provides members with services such as video detection, per-platform adaptation, automated distribution, and distribution-status lookup.
  2. The Company may change all or part of the Service for quality improvement or operational/technical needs, and will give prior notice of material changes.
  3. The Service is in principle provided 24/7, but some features may be limited due to external platforms’ policy/API changes or outages.

Article 6 (Suspension of the Service)

The Company may temporarily suspend the Service for unavoidable reasons such as system inspection, maintenance or replacement, communication failures, force majeure, or external platforms’ API-policy changes or outages, in which case it will notify members before or after the fact.

Article 7 (Member obligations)

  1. Members must comply with applicable laws, these Terms, and the policies and terms of each connected platform.
  2. Members must not distribute content that infringes others’ copyrights or portrait rights, or that violates each platform’s policies, such as obscene, violent, or illegal information.
  3. Members are responsible for managing their own account and connected-account credentials, and may not transfer or lend them to third parties.
  4. Members are solely responsible for the content they distribute.

Article 8 (Copyright and management of content)

  1. Intellectual-property rights, including copyright, in content a member distributes through the Service belong to the member or the rightful owner.
  2. The Company processes a member’s content only to the extent necessary to provide the Service (adaptation and distribution) and does not use it for any other purpose.
  3. If distributed content violates laws or a platform’s policies, the Company may restrict its distribution after prior notice (or after the fact in urgent cases).

Article 9 (Third-party platform connections)

  1. The Service operates through the official APIs of external platforms such as Meta (Instagram, Facebook, Threads), TikTok, and Google (YouTube), and the Company complies with each platform’s developer terms and policies.
  2. The Service uses YouTube API Services. By using the Service to publish to YouTube, members agree to be bound by the YouTube Terms of Service. Google’s handling of personal data is governed by the Google Privacy Policy. Members may revoke the Service’s access to their YouTube account at any time through the “Disconnect” menu in the Service or at myaccount.google.com/permissions. Details of the data accessed and its retention are set out in Section 7 of the Privacy Policy.
  3. To use the Service, members must consent to connecting their platform accounts and granting the necessary permissions, and may disconnect at any time.
  4. The Company is not liable, absent intent or gross negligence, for distribution failures or delays caused by matters beyond its control, such as external platforms’ policy changes, outages, or account sanctions.

Article 10 (Fees, payment, and refunds)

  1. Some features of the Service are provided for a fee. The subscription fee is billed per brand on the billing cycle selected for that brand (monthly or yearly), and the amount and billing cycle are notified in the Service before payment. Adding a brand starts a new subscription for that brand, billed at the notified price from that moment. By using paid services, a member is deemed to have agreed to the fees and payment conditions notified in advance.
  2. Each payment grants a usage period of one month or one year for that brand, according to its selected cycle. If a member cancels a brand’s subscription during a paid period, the fee already paid for that period is not refunded; the member may continue to use the paid features for that brand until the end of that period, and no charge is made from the next billing cycle onward.
  3. If an automatic payment fails, the Company may restrict paid features (such as publishing) until payment is completed. Payment is retried when the member registers a valid payment method again.
  4. Matters not set out in this Article follow applicable laws, including the Act on the Consumer Protection in Electronic Commerce.

Article 11 (Termination and use restrictions)

  1. Members may request withdrawal at any time through the in-service menu, and the Company will process it without delay in accordance with applicable laws.
  2. If a member violates these Terms or applicable laws, the Company may restrict use or terminate the agreement after prior notice.

Article 12 (Damages and disclaimer)

  1. If the Company or a member causes damage to the other party by violating these Terms, it is liable to compensate for that damage.
  2. The Company is not liable for damage arising without its intent or gross negligence, such as force majeure, external platforms’ outages or policy changes, or causes attributable to the member.
  3. The Company is not liable for the content that members post or distribute through the Service, or for disputes arising from it.

Article 13 (Governing law and jurisdiction)

These Terms are governed by and construed under the laws of the Republic of Korea, and any lawsuit over a dispute between the Company and a member relating to the Service will be brought before the competent court of first instance under the Civil Procedure Act.
